These Terms of Service (“Terms”) govern your access to and use of the Obsidian Code website and your purchase of digital products from us. By using the site or placing an order, you agree to these Terms.
This document is a store policy, not legal advice to you, and it is not a substitute for advice from a lawyer licensed in your jurisdiction.
1. Who we are
Obsidian Code is a shop that sells digital kits for independent client work (templates, worksheets, email scripts, trackers, and similar files). We operate this storefront on Shopify at https://obsidiancode.net/.
We are based in Arizona, United States.
2. Eligibility
You must be at least 18 years old (or the age of majority where you live) to buy from this store. You are responsible for the information you provide at checkout.
3. What we sell — and what we do not
Our products are digital downloads: documents, spreadsheets, slide decks, and related files you customize for your own work.
They are workflow tools. They are not:
- a law firm, attorney, or legal service
- a contract you can treat as lawyer-drafted for your clients
- tax, accounting, payroll, or bookkeeping software or advice
- a guarantee of any particular client result, income, or outcome
You are responsible for adapting the files to your business, your clients, and the laws that apply to you. If you need a contract, tax treatment, or licensed advice, hire a professional in your jurisdiction.
4. Orders, prices, and payment
Prices are shown in US dollars unless stated otherwise. We may change prices at any time; the price at checkout is the price you pay for that order.
Payment is processed by Shopify and its payment providers. We do not store full card numbers.
An order is an offer to buy. We may refuse or cancel an order (for example suspected fraud, pricing error, or inability to deliver the files). If we cancel after you have been charged, we will refund the amount charged for that order.
5. Delivery
There is no physical shipping. After payment is complete, you receive an order confirmation with a link to download your files. Downloads are usually available immediately.
If you do not receive the email, check spam and promotions, then email daniel.smith@obsidiancode.net with your order number.
You are responsible for downloading and storing your files. We are not obligated to re-host a file forever if you lose it, but we will make a reasonable effort to re-send a working download if you contact us and we can verify the purchase.
6. License (what you may do with the files)
When your order is complete, we grant you a personal, non-exclusive, non-transferable license to use the purchased files for your own business: editing, putting your name on them, and sending the resulting pages to your clients.
You may not:
- resell, share, or redistribute the original kit files, or a lightly renamed version, as a product, template pack, or download
- put the kits on a marketplace, membership, or “done-for-you” shop as if they were yours
- claim we drafted, reviewed, or approved documents you send to clients
- remove notices that the materials are templates / not legal or tax advice, if those notices are in the files
One purchase is for you (or one business you operate). If someone else needs their own copy, they need their own purchase.
We keep all intellectual property in the kits except for the license above. Your own client data, logos, and text that you add remain yours.
7. Refunds
Because these are digital goods delivered immediately, all sales are final once the download has been made available, except:
- the file is corrupt or cannot be opened, and we cannot provide a working replacement within a reasonable time after you write us; or
- you were charged in error (duplicate charge, obvious pricing glitch we confirm).
If a refund is issued, your license ends and you must delete the files.
Chargebacks filed without first contacting us may be treated as a license violation. Email daniel.smith@obsidiancode.net first. See also our Refund policy, if published at https://obsidiancode.net/policies/refund-policy.
Where consumer law gives you a withdrawal right for digital content, that right typically ends once delivery starts if you asked for immediate access. Completing checkout and downloading is your request for immediate delivery.
8. Acceptable use
Do not use the site or the files to break the law, harass anyone, infringe others’ rights, or attempt to attack, scrape, or overload the store. We may refuse service if we reasonably believe these Terms are being abused.
9. The site, accounts, and third parties
The store runs on Shopify. Checkout, accounts, and some cookies/analytics are provided by Shopify and other processors, as described in our Privacy policy: https://obsidiancode.net/policies/privacy-policy
We do not promise the site will be uninterrupted or error-free.
10. Disclaimers
THE SITE AND THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the templates are complete, current, or suitable for your industry, your clients, or any legal or tax purpose.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OBSIDIAN CODE AND ITS OWNER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF THE SITE OR THE PRODUCTS.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO AN ORDER WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THAT ORDER.
Some places do not allow certain limitations. In those places, our liability is limited to the fullest extent the law allows.
12. Indemnity
You will defend and hold us harmless from claims that arise from your use of the files with your clients, your modification of the files, or your violation of these Terms, except to the extent caused by our willful misconduct.
13. Changes
We may update these Terms. The “Last updated” date will change when we do. Continued use of the site after an update means you accept the revised Terms for new visits and new orders. Existing completed orders stay under the Terms in effect when you bought, except where the law requires otherwise.
14. Governing law
These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-law rules. Courts located in Arizona have exclusive jurisdiction, except that we may seek injunctive relief anywhere to protect our intellectual property.
If a court finds a part of these Terms unenforceable, the rest still applies.
